Remerge Business Code of Conduct
Remerge is an international company with operations around the world. In all instances, we respect national laws and, where applicable, other laws with an international reach, as well as industry codes of conduct. We are committed to acting ethically in all aspects of our business and to maintaining the highest standards of honesty and integrity.
The Remerge Business Code of Conduct (our "Code") is intended to reflect our commitment to these principles and applies to all entities of the Remerge Group and all of its direct or indirect subsidiaries and affiliates (collectively referred to as "Remerge" or "We").
Our Code takes into account Remerge's internal guidelines and policies and is intended to define our conduct in the provision of goods and services. Remerge is committed to doing business in a legal, fair and ethical manner and expects the same commitment from all its business partners.
Our Code will be made available to our partners for review.
2. LAWS AND REGULATIONS
Remerge complies with all applicable laws and regulations of the countries in which we operate and where goods and services are provided. Such laws include, but are not limited to, employment law, tax law, corporate law, personal data protection, etc.
In the event of a conflict between the requirements of our Code and applicable laws/regulations, the more stringent requirement shall apply.
3. ETHICS
Remerge conducts its business ethically and with integrity.
3.1 Anti-Bribery and Corruption
Any form of fraud, corruption, extortion or other improper benefit is strictly prohibited. Remerge will not offer or accept bribes or other unlawful/improper benefits from its business partners. Remerge will not provide any form of benefit or gratification to a partner's employees in order to gain an unfair business advantage.
3. Limited-Gift Policy
At Remerge, we uphold a "Limited-Gift Policy." Employees may exchange gifts of nominal value, provided they do not influence or appear to influence professional judgment or decision-making processes. Gifts of significant value or with implied expectations of reciprocation are strictly prohibited. All gifts given by our employees are subject to review by our internal accounting team and marketing team and must adhere to our established policies. We place our trust in our employees' professional discretion to maintain this policy, promoting an environment of unwavering integrity and transparency.
3.3 Conflict of Interest
Remerge will disclose in the first instance if there is a potential conflict of interest in relation to its potential and/or existing contractual relationship with our partners. Remerge will also disclose any actual or potential conflict of interest at the outset of its contractual relationship with its partners.
3.4 Fair Competition
Remerge is committed to fair practices and ensuring that our business practices comply with all applicable antitrust laws.
3.5 Privacy & Intellectual Property
We comply with all relevant data protection laws and regulations with respect to the collection, disclosure, storage and/or processing of personal data of our own and our partners' customers and employees.
Remerge will not infringe any intellectual property rights, copyrights, patents or trademarks. If any intellectual property rights are developed as part of the contractual arrangement with Remerge, the ownership of such intellectual property rights shall be as defined in the signed contract.
3.6 Reporting of Concerns

Remerge will adhere to the following principles with respect to any such concerns/issues raised in good faith:
- Confidentiality: All reports made and the identities of the whistleblowers will be kept strictly confidential, to the extent permitted by law and the needs of the investigation.
- Retaliation: Remerge will not tolerate any form of retaliation, reprisal or harassment against whistleblowers.
However, Remerge reserves the right to consider any malicious/frivolous complaints as a material breach of contract.
4. HUMAN RIGHTS, DISCRIMINATION AND LABOR
Remerge will protect the human rights of our employees and treat them with dignity and respect. This includes but is not limited to the following aspects:
We will ensure that our employees meet the minimum requirements of applicable local laws and regulations. This includes (but is not limited to) the payment of minimum wages, contributions to provident and retirement funds, overtime hours and pay, mandatory rest periods, minimum working age, etc.
We ensure that no employee is forced to work and is given fair opportunity to work in an environment that is free from discrimination, harassment, or coercion.
5. HEALTH, SAFETY, ENVIRONMENT AND QUALITY
Remerge is committed to providing a safe and healthy work environment that promotes the well-being of our employees.
We have established generally accepted and/or contractually agreed quality, health, safety and environmental requirements to provide goods and services that consistently meet the needs of our customers. All required permits, licenses and registrations are obtained, maintained and kept up-to-date.
We will protect our employees from all chemical, biological and physical hazards.
6. SECURITY
Remerge maintains processes and standards designed to ensure the integrity of every data transfer to our partners from origin to destination and all points in between.
7. MANAGEMENT SYSTEMS
Remerge has implemented management systems to facilitate compliance with all applicable laws and to promote continuous improvement with respect to the expectations set forth in our Code. This includes the following aspects:
7.1 Communications
We will ensure appropriate communication of the principles set forth in this Code to our managers, employees and supply chain, and ensure strict adherence to the principles of this Code.
7.2 Commitment and Accountability
Our employees are encouraged to meet the expectations set forth in this Code by providing appropriate resources.
7.3 Risk Management
Remerge has implemented appropriate measures to manage all compliance risks identified in our Code and/or mechanisms to identify, measure and manage risks in all areas covered by our Code and in respect of all applicable legal requirements.
7.4 Compliance with this Code
Remerge allows partners to conduct audits of our compliance with the requirements of this Code. Any failure to comply with the obligations set forth in this Code may be considered a material breach of contract for which our partners may reserve the right to exercise their rights under the terms of the contract.
